End User License Agreement

This End User License Agreement (“EULA”) is a legal agreement between you and Black Fern Pet Company (“Black Fern,” “we,” “us,” or “our”) governing your use of the Customer Portal and Brand Portal software and associated services (the “Software”). This is a placeholder document and should be reviewed by qualified legal counsel before publication. By installing, accessing, or using the Software, you agree to be bound by this EULA.

License Grant

Subject to your compliance with this EULA, Black Fern grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business purposes as a customer or represented brand partner.

Restrictions

  • You may not copy, modify, distribute, sell, or lease any part of the Software.
  • You may not reverse engineer or attempt to extract the source code of the Software, except where permitted by law.
  • You may not use the Software to build a competing product or service.
  • You may not share your account credentials or allow unauthorized users to access the Software.

Ownership

The Software is licensed, not sold. Black Fern and its licensors retain all right, title, and interest in and to the Software, including all related intellectual property rights.

Term & Termination

This EULA remains in effect until terminated. We may suspend or terminate your access to the Software at any time, including for violation of this EULA. Upon termination, your right to use the Software ends immediately.

Disclaimer of Warranties

The Software is provided “as is” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by law, Black Fern will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Software.

Governing Law

This EULA is governed by the laws of Placeholder Jurisdiction, without regard to its conflict of laws principles.
